Important: Please read these rules (the “Rules”) before entering the Christian Louboutin Giveaway (the “Giveaway”). By participating in the Giveaway you agree to be bound by these Rules.

NO PAYMENT OR CONSIDERATION OF ANY KIND IS NECESSARY TO ENTER OR WIN. PAYMENT OR CONSIDERATION WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility: A payment is not necessary and will not increase your odds of winning. The Giveaway is open only to legal residents of the United States, 18 years of age or older and residing in the United States at the time of entry. Employees, officers, and directors of Levo League (“Levo League” or “Sponsor”), its subsidiaries and
its advertising and promotion agencies, and their immediate family members and persons living in their same household, are not eligible to participate in the Giveaway. If you do not meet these eligibility requirements or comply with these official rules, you are not eligible to win a prize and Levo League reserves the right not to award prizes to you. To be eligible to win a prize, entries must be completed and received by Levo League in the manner and format designated in these Rules. All applicable federal, state, and local laws and regulations apply. Offer void in Rhode Island, Puerto Rico, and where prohibited by law. By entering the Giveaway, you agree to comply with and be legally bound by these Rules, which shall be final and legally binding in all matters relating to this Giveaway.

2. Entries: Only one Giveaway entry is allowed per person. Multiple entries from the same person may be disqualified. Use of automated systems to enter is prohibited and may result in disqualification. If there is a dispute as to the identity of an online entrant, the prize will be awarded to the authorized account holder of the email address. The decisions of Sponsor are final in all respects.

3. Entry Period: The entry period for the Giveaway begins on December 5, 2013 at 11:59 pm EST and ends on December 31, 2012 at 11:59 pm EST (the “Entry Period”). All entries must be received during the Entry Period to be eligible to win a prize. Levo League’s computer is the official time-keeping device for the Entry Period. The Winner will be announced on in Jan. 2013 on Levo League’s website, www.levoleague.com.

ONLINE ENTRY: During the Entry Period, follow and complete these steps:

Visit the Levo League homepage, www.levoleague.com, and click on the Christian Louboutin Heels Giveaway post here.

Create an account with Levo League by completing the signup form, including providing the requested information. You will also need to agree to these Rules. A valid email address is required to enter. Creating an account with Levo League is free. If you do not wish to create an account, you may enter by mail.

Send a postcard with your name, address and email address (that we will use only to contact you in the event you are a winner) to “Christian Louboutin Heels Giveaway” c/o Levo League, 833 Broadway, 5th Floor, New York, NY, 10003. All mailed entries must be received no later than December 31, 2012 to be included as a valid entry for the Giveaway.

5. Prize: The Winner will receive one pair of Christian Louboutin high heels. Approximate retail value is $750.00. Only one (1) prize will be awarded. No alternative prize, cash or other substitution is permitted except in the sole discretion of the Sponsor in the event of prize unavailability. No transfer of prize to a third party is permitted. All federal, state and/or local taxes are the sole responsibility of the winner. We may be required to collect your social security number and file an appropriate tax form if you win a prize. The Winner should allow approximately [three to four weeks] (after submission of any additional information or releases, if necessary) to receive the prize.

6. Selection of Winner: The Winner will be drawn randomly from all eligible entries received during the Entry Period. The Winner will be notified by e-mail, or by U.S. postal mail or by phone, at Sponsor’s discretion. As a condition to receiving the prize, the Winner may be required to sign and return an affidavit of eligibility and
liability and a publicity release, consenting to the use of their name and likeness for promotional purposes without further compensation, unless prohibited by law. The odds of winning a prize depends on the number of eligible entries received.

7. Sponsorship and Disclaimer: You understand that you are providing your information to Levo League as the official sponsor. Levo League will not be responsible for and shall not be liable for: (a) any delayed, lost, destroyed, misrouted, incomplete, undelivered, garbled or distorted or damaged transmissions or entries, or any other errors or problems of any kind which may limit or affect an entrant’s ability to participate in the Giveaway; (b) telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; (c) any Giveaway disruptions, injuries, losses or damages caused by events beyond the control of Levo League or by non-authorized human intervention, including without limitation, any error that is the result of any infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Giveaway; (d) any printing, typographical, electronic, Internet, email, website, software or other similar errors in any materials associated with the Giveaway; or (e) any injuries, losses, or damages of any kind arising in connection with or as a result of participating in the Giveaway or possession or use of the prize.

By entering the Giveaway by any permitted means, you agree to these terms and further agree to defend, indemnify and hold Sponsor and each of their directors, officers, agents, equity holders and employees, harmless for any loss, damages or costs, including reasonable attorneys’ fees, resulting from any third party claim, action, or demand resulting from your breach of these Rules.

8. Additional Rules & Regulations: If for any reason the Giveaway is not capable of running as planned, Sponsor reserves the right, at its sole discretion, to cancel, modify or terminate the Giveaway. Further, Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting
to tamper with the entry process or the operation of the Giveaway or the Sponsor website; (b) ineligible or otherwise violating the Rules; (c) violating the Terms of Service of Levo League, conditions of use and/or general rules or guidelines of any property or service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. If the prize becomes unavailable, Sponsor may substitute another prize of similar value.

9. Disputes: Except where prohibited, entrants agree that: (1) any disputes, claims and causes of action arising out of or connected with this Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a state or federal court located in New York; (2) any claims,
judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim indirect, punitive, incidental and
consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the entrant, shall be determined by Sponsor in its sole discretion and governed by the laws of New York, without giving effect to any choice of law or conflict of law rules (whether of New York or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than New York.
